These Terms are an agreement between you and Kurodyne LLC. By using Kurodyne, you agree to them. The full Terms follow; here is where the most common questions are answered:
- Refunds. Purchases are nonrefundable once delivered to your Library, with the exceptions in Refund Policy (Section 3.2).
- Your license. Every purchase uses the standard Kurodyne Commercial License described in License Terms (Section 3.4).
- Seller fees. The standard platform fee is 20%; its terms are in Payments (Section 4.2), and the programs that waive it are in Fee-Free Programs (Section 4.6).
- Leaving. Account deletion and what happens after it are in Account Termination (Section 8).
You must be at least 18 years old to use Kurodyne. To sell, you must also qualify for a Stripe connected account that can accept payments. If you act for a legal entity, you must have authority to bind it to these Terms.
You must provide accurate account information. You are responsible for keeping your account secure.
Kurodyne is a marketplace for useful digital work, including software, agent skills, spreadsheets, templates, design kits, courses, and guides. We operate the marketplace, set the general terms of each sale, grant the displayed Kurodyne Commercial License on the seller's behalf, and process payments through Stripe. Each seller is the merchant of record for its own sales (see Payments (Section 4.2)). We review listings for publication eligibility, policy compliance, and listing completeness before they go live. We do not create products.
- Package downloads for your purchases remain available until the seller's account is closed, including while it is suspended, and for 6 months after the seller or we close it.
- Sellers may update purchased products. Approved updates to the product you bought are included in your purchase at no extra cost. Your Library offers the product's current approved release. Earlier releases are not available for download, so keep any copy you want to retain. A new edition offered as a separate product needs its own purchase.
- For a product that delivers a product key, your entitlement is bounded by the buyer requirements shown before purchase, including any stated account, subscription, region, compatibility, or access-duration limit. External availability may depend on the seller or third-party provider.
- Files may be removed or access restricted for legal, policy, or security reasons, including during the seller-departure access period. A purchase's package recovery window opens when a full refund or a payment dispute resolved in your favor ends your access, or a security block stops its package downloads. If your access and an unblocked package are not both available again within 365 days, the window closes and package downloads for that purchase close permanently. A legal or policy restriction does not open or extend this window.
Purchases are nonrefundable once delivered to your Library. A refund claim may be eligible when:
- A package is corrupted or contains malware
- A product key does not work as disclosed
- The product is materially different from its description
If the seller offers support, contact them first. If you cannot contact the seller or the issue is not resolved, submit a claim through our contact form or email support@kurodyne.com within 7 days of purchase. We will investigate and may:
- Ask the seller to fix the problem in an update, which reaches your Library once approved
- Request a refund from the seller or process one on their behalf
Refunds are not available for a change of mind, a preference for another product, or a cheaper alternative.
Where applicable consumer protection law gives you a refund right or another remedy that cannot be waived, this policy does not limit it, and the 7-day claim window does not shorten it.
Refunds are returned through the original payment method, and Stripe may require buyer action before it can complete one. A successful partial refund does not revoke platform access. When successful refunds cumulatively equal the full payment amount, we revoke platform access to the product's files and withhold its product key and usage instructions.
After a full refund of a delivered purchase, the seller may restore platform access at their discretion. Restoration is unavailable while a payment dispute is open or after a dispute is resolved in the buyer's favor. Package downloads return only if access is restored before the purchase's package recovery window closes. Once it closes, restoring access returns the license, any product key, and usage instructions, but not package files.
If a payment is disputed, the pending dispute does not itself revoke access; a full refund still has the effects described in this section. If the dispute is resolved in the buyer's favor, access is revoked. We stop displaying your review when no purchase still grants you access to the product. We cannot revoke a product key that you already copied, used, or redeemed through an external service.
Refunds and Payment Disputes (Kurodyne Commercial License, Section 10) states how refunds and disputes affect your license.
Use and share purchased products only as permitted by the commercial-license terms accepted at checkout and the applicable terms for third-party material.
Every product uses the nonnegotiable Kurodyne Commercial License. The license terms in effect when you select Complete order apply to the resulting purchase and its included updates, and later changes do not reduce rights already purchased. We retain prior license text and its effective dates. A listing, README, private message, or bundled seller file cannot replace those terms or add seller-specific restrictions.
Product support is provided by sellers, not by us, through the support options shown with each product. Those options may change at any time.
A product delivers a downloadable package, a product key, or both. A product key is one value that every buyer of the product receives, such as a license key, access link, invite code, password, redemption code, or another value the listing names. The product key and usage instructions appear in your Library after payment succeeds. If we cannot complete immediate delivery for a paid purchase, we deliver nothing for that payment and automatically refund it in full to the original payment method. The seller cannot restore access for a payment that was never delivered; once the refund completes, you can buy the product again while it is available.
A product key comes from the product's current approved release, so an approved update can replace it, for example with a new access link. The purchase keeps the delivery requirements accepted for that order. Redemption, validity, access duration, and external availability are the seller's responsibility and remain subject to the disclosed requirements and any applicable third-party provider terms.
You act as an independent business on your own behalf. You are not our employee, agent, contractor, or partner.
We use Stripe Connect Standard. You are the merchant of record for your sales. Buyers pay you through Direct Charges on your connected Stripe account, and our platform fee is deducted from each sale. Our standard platform fee is 20% of the price after any seller discount, and the same standard rate applies to every seller. We may lower the fee for an individual seller until a stated date and time. Orders created after that time pay the fee then in effect. We may update the standard rate from time to time. We publish the new rate in these Terms and give sellers advance notice of the rate and its effective date and time. The new rate applies to orders created after it takes effect; an existing order keeps the platform fee fixed when that order was created at checkout.
Stripe determines when your account can receive payouts. Payout timing and Stripe processing fees are governed by Stripe and your account settings. We do not hold sale funds, initiate payouts, or set payout timing. A partial refund does not return the Kurodyne platform fee. When successful refunds from any source together cover the full payment, we return any remaining platform fee once each of those refunds has remained successful for 31 days. The return is automatic while the Stripe account that received the payment stays connected to Kurodyne, unless the payment has had any dispute, including an inquiry, in which case we return the fee manually. If that Stripe account is disconnected, report the full refund to support@kurodyne.com with Stripe's refund record so we can verify it and return the remaining platform fee manually. This reporting step also applies after you delete your Kurodyne account.
If you lose a dispute, we return the remaining platform fee only when we already owed the buyer one of the automatic full refunds in Chargebacks and Risk Management (Section 4.5). The lost dispute replaces that refund, and we return the fee manually. A lost dispute on any other sale does not return the platform fee.
We are responsible for remitting transaction tax on any sale for which marketplace rules assign that duty to the platform. You are responsible for income tax, any other transaction tax on your sales, and the registrations, filings, invoices, and other documents that apply to your sales, activities, and legal form.
Checkout does not add any transaction tax that you owe, so the price you set includes it. We provide a simple purchase receipt as an account record. It does not replace any invoice or other document you must issue.
When you submit a product, you authorize us to grant the Kurodyne Commercial License on your behalf, including for the product's approved updates, and to give written breach notices and enforce the License on your behalf under its cure and termination terms. That authorization survives your departure for licenses already granted. It permits us to act but does not require us to enforce every breach. You warrant that you own the material or hold sufficient rights to make that grant, that your product matches its description, that you identify all third-party material and its obligations, and that the third-party material's terms are compatible with the commercial use you promise.
An approved update reaches every buyer with access to the product at no extra cost, including a change to its product key. An update must not remove or narrow what earlier buyers hold, such as removing the product key or tightening its access requirements. We will request changes to an update that does instead of approving it. Offer a materially new edition, a different deliverable, or a changed deal as a new product. Product updates must not make the live listing materially inaccurate.
Every downloadable package must contain actual product content. You must provide private usage
instructions for every release. Identify applicable third-party components, source links, license
texts, notices, and buyer obligations, including in THIRD_PARTY_NOTICES.md when required. Disclose
material application, account, paid-plan, credential, network, and third-party obligations in the
public product requirements before purchase.
For products that deliver a product key, you must:
- Own the product or have permission to distribute and sell the delivered access
- Comply with applicable third-party terms, including restrictions on account transfers, credential sharing, sublicensing, and redistribution
- Accurately disclose every required account, application, paid subscription, compatible device or format, regional restriction, and access-duration limit before purchase
- Provide a working product key immediately after successful payment and ensure it matches its disclosed type and the product description
- Keep product keys and the redemption steps in your private usage instructions out of public listing fields
A password may unlock only a product-scoped resource. It must not provide access to a personal or shared account. Claims of permanent or lifetime access must match access you control and can provide.
You are responsible for chargebacks and related fees. Stripe debits chargebacks, refunds, and processing fees directly from your Stripe balance. We do not prepare or submit dispute evidence for you. You manage and respond to each dispute directly in Stripe and remain responsible for meeting Stripe's deadline.
We automatically refund the full payment from your Stripe account when we cannot complete immediate delivery, when a payment that was fully refunded, or that you lost in a dispute, is restored after the buyer bought the same product again, or when Stripe collects a payment that does not match its checkout order, such as a different amount, currency, or platform fee, or a payment for a checkout that was already canceled.
Fee-free time lowers your platform fee to zero under Section 4.2, and you earn it only through the programs in this section. Orders created during your fee-free time carry no platform fee, and each order keeps the fee fixed when it was created at checkout. Stripe's processing fees still apply.
- Founding sellers: The first 100 sellers to have a product approved each receive 3 months of fee-free time and a Founding seller badge on their store, which remains unless we revoke that grant.
- Invitations: While you have a product for sale on Kurodyne, you can invite other sellers with your invite link. A seller can accept one invitation while their account is active and before we approve their first product, and acceptance is final. When we approve the invited seller's first product, both sellers receive 1 month of fee-free time. The inviting seller receives it only if their account is not suspended or deleted at that time. Neither seller receives it if their accounts have ever connected the same Stripe account, or if the inviting seller's account was deleted more than 5 years before that approval, because we no longer keep the records needed to check for a shared Stripe account.
Your grants run one after another in the order you earn them. Each grant starts when you earn it or when your previous grant ends, whichever is later. Your fee-free time never reaches more than 6 months past when you earn a grant. We shorten a grant that would reach further, and you receive no grant if less than a day remains.
Wherever you share your invite link, you must clearly disclose that you receive fee-free time when a seller you invite publishes. You must not send your link as spam or use it to invite an account you control. We may revoke a grant obtained in breach of these Terms. Revocation ends the grant's remaining time when we revoke it and does not change the fee on orders already created.
We may change or end either program. A change applies to grants earned after we give notice of it, and we honor fee-free time already granted. Fee-free time has no cash value, cannot be paid out or exchanged, and stays with the account that earned it, which Section 5 prohibits transferring.
- You must not sell content you do not have rights to, or content that is illegal or harmful.
- You must not transfer accounts, share personal or shared account credentials, hide a required paid plan or other buyer requirement, or place a product key in a public listing.
- You must not infringe on intellectual property rights.
- You must not create accounts to evade bans or manipulate ratings, reviews, or sales metrics.
- You must not harass users or expose their personal information.
- You must not submit sensitive personal data, government-issued identity documents, or precise geolocation through profiles, Kurodyne Relay, AI prompts, uploads, or any other free-text field.
- You must not submit another person's personal data unless you have lawful authority and the information is necessary for a permitted use of the service.
- You must not circumvent platform fees.
- You must not scrape, crawl, or use automated tools to access nonpublic areas or exceed access
limits. Automated access to public pages is permitted in accordance with our
robots.txtrules and access limits, including search and AI search indexing, AI assistants and agent browsers fetching pages for a user, and link previews. Catalog access through MCP and authenticated MCP access within granted permissions are also permitted. These permissions do not grant a license to use site content beyond the rights in these Terms. - You must not upload malware or attempt to bypass security measures.
The prohibition on attempts to bypass security measures does not apply to good-faith security research that follows the testing guidelines and scope in our security.txt and reports findings to support@kurodyne.com.
You retain ownership of all content you submit to Kurodyne, including products, reviews, profile information, store descriptions, and Kurodyne Relay messages. You grant us a worldwide, nonexclusive, royalty-free license to host, store, reproduce, display, and distribute your content as necessary to operate the platform, deliver purchases to buyers, and provide platform features (such as displaying reviews and stores). We may also use your product to make demonstrations, and reproduce and display those demonstrations, your public listing content, and your store name to promote your products and Kurodyne, including on social media and other third-party services.
We own the platform. Do not copy or reverse engineer it, except to the extent needed for good-faith security research permitted under Prohibited Conduct (Section 5).
We use the notice-and-takedown process under section 512(c) of the Digital Millennium Copyright Act (DMCA) for claims about user-uploaded material. Send a copyright notice to support@kurodyne.com. A valid notice must include substantially all of the following:
- A physical or electronic signature of the copyright owner or a person authorized to act for the owner
- Identification of the copyrighted work claimed to be infringed, or a representative list if the notice covers multiple works on Kurodyne
- Identification of the material claimed to be infringing and information reasonably sufficient for us to locate it, such as the exact Kurodyne URL
- The sender's name, mailing address, telephone number, and email address
- A statement that the sender has a good-faith belief that the disputed use is not authorized by the copyright owner, the owner's agent, or the law
- A statement that the information in the notice is accurate and, under penalty of perjury, that the sender is authorized to act for the copyright owner
We may share the notice and relevant supporting information, including the sender's contact details, with the user whose material is affected, as described in the Privacy Policy's section on sharing for legal reasons.
After a valid notice, we act expeditiously to remove or disable access to the reported material and promptly notify the user who provided it. That user may send a counter-notice to support@kurodyne.com. A valid counter-notice must include substantially all of the following:
- The user's physical or electronic signature
- Identification of the material that was removed or disabled and where it appeared before removal or disabling
- A statement under penalty of perjury that the user has a good-faith belief that the material was removed or disabled because of mistake or misidentification
- The user's name, mailing address, and telephone number
- A statement consenting to the jurisdiction of the federal district court for the judicial district where the user's address is located, or, if the user is outside the United States, any federal judicial district where Kurodyne may be found
- A statement that the user will accept service of process from the person who sent the original notice or that person's agent
After we receive a valid counter-notice, we promptly send a copy to the original notice sender and state that we will restore the material after 10 business days. We restore the material 10 to 14 business days after receiving the counter-notice unless the original notice sender first tells us that they filed a court action seeking an order to restrain the allegedly infringing activity.
We maintain and reasonably implement a policy that terminates accounts of repeat copyright infringers in appropriate circumstances.
Some of our AI features, including the Operator, Kurodyne's AI assistant for buyers and sellers, generate text from inputs you provide. As between you and Kurodyne, we claim no ownership of generated outputs, and you may use them for any lawful purpose. Outputs are produced by third-party AI models: similar or identical outputs may be generated for other users, outputs may not be protectable by copyright, and we do not warrant that an output does not infringe third-party rights. You are responsible for your inputs (see Prohibited Conduct (Section 5)) and for how you use outputs. AI inputs and Operator activity are handled as described in our Privacy Policy.
To the maximum extent permitted by law, Kurodyne and seller products are provided "as is" and "as available," subject to sellers' express warranties in these Terms and the Kurodyne Commercial License. We do not warrant product quality, compatibility, security, fitness, or outcome. Human review is required before publication. Malware scanning runs after upload and may block a package later; a pending scan does not prevent publication or downloads. Neither review nor scanning is a guarantee. Security Scanning (Section 7.4) describes when package access is blocked. These disclaimers do not reduce rights expressly granted by the commercial license or remedies that cannot lawfully be excluded.
To the maximum extent permitted by law, our total liability to you for a claim or related claims is limited to the sum of these amounts during the 6 months before the first such claim:
- The amounts you paid to sellers for purchases on Kurodyne
- The Kurodyne platform fees charged on your sales
If you both buy and sell, both amounts count toward this limit. We are not liable for indirect, incidental, special, or consequential damages, or for user content or conduct. Nothing in these Terms excludes or limits liability for fraud, willful misconduct, or gross negligence, or any other liability that cannot be excluded or limited under applicable law.
To the extent permitted by law, you agree to defend Kurodyne against third-party claims and cover reasonable defense costs and damages finally awarded or agreed in a settlement you approve, only to the extent the claims arise from:
- Your misuse of Kurodyne or violation of these Terms
- If you are a seller, your products, listings, or breach of your rights warranties
As a buyer, you have no duty under this section merely because you purchase or use a product as permitted. The duty does not cover any claim to the extent caused by our own fraud, willful misconduct, or gross negligence, or any liability that the law does not allow us to shift to you.
We will promptly notify you of a claim, allow you to control its defense, and provide reasonable cooperation. A settlement that binds either party requires that party's prior written consent, which must not be unreasonably withheld.
Downloads remain available while a malware scan is pending, flagged for review, or incomplete. A security block, such as a confirmed threat or a file that fails our integrity checks, stops downloads of the affected package. Access may resume after an approved update from the seller replaces the package or our review clears the block, but package downloads cannot return after the purchase's 365-day recovery window closes. The license and any product key or usage instructions remain available while the purchase has access. Scanning reduces risk but cannot guarantee detection or removal of every issue. You should scan files before use.
Features labeled as beta or preview are provided "as is" and may change or be discontinued at any time.
You can delete your account in Settings at any time.
We may suspend or terminate accounts that:
- Violate these Terms
- Engage in illegal activity
- Harm other users
Access to your account ends immediately. If a seller's account is suspended or terminated, their buyers keep access as described in Purchases (Section 3.1). Termination alone does not cancel a lawfully granted product license, except when the license or applicable law provides otherwise. It does not entitle you to a refund or change your eligibility under the Refund Policy.
Data Retention (Privacy Policy, Section 4) lists the records we keep after an account ends.
These Terms are governed by the laws of the United States and the State of Iowa, without regard to conflict-of-law rules. To the extent permitted by law, disputes must be brought in courts with jurisdiction over Kurodyne LLC.
We may help resolve disputes between users but are not obligated to.
Disputes are resolved individually to the extent permitted by law.
We may update these Terms. Each update takes effect when we publish it at kurodyne.com/terms, and the date at the top of this page records the latest update. For material changes, we also email each account's registered address, if it has one.
You agree to the current Terms each time you sign in or complete an order. Where applicable law permits, continued use after we email you about a change also constitutes acceptance; where the law requires express consent, the change applies to you only after you give it.
Changes apply prospectively. They do not alter completed purchases, claims that arose before the change, or rights granted under a commercial license already accepted for a purchase.
These Terms, our Privacy Policy, the Kurodyne Commercial License accepted at checkout for a purchase, and applicable third-party terms are the entire agreement for their respective subjects. The commercial license controls rights in the purchased product and its included updates, except identified third-party material. Invalid provisions do not affect the rest. You cannot transfer your rights without permission. We are not liable for delays or failures due to events beyond our reasonable control.
Nothing in these Terms limits any consumer protection or remedy that applicable law makes nonwaivable, including any right to bring a claim in your local courts.
