This Kurodyne Commercial License is the agreement between the Seller and the Licensed buyer for the Product purchased through Kurodyne. By selecting Complete order, the Licensed buyer accepts the License in effect for that order. Kurodyne grants that License on the Seller's behalf when payment and delivery complete.
Buyer account means the Kurodyne account that completes the purchase.
End product means software, a service, a website, a design, a document, a presentation, a report, media, or other finished work that incorporates or was made using the Product and does not expose the Product as Reusable material or function as a competing substitute for it.
Licensed buyer means the individual who owns the Buyer account or the single legal entity on whose behalf that individual is authorized to make the purchase.
Product means the material delivered through the purchased Kurodyne product and its included updates, except third-party material identified under Section 8.
Reusable material means Product source, templates, prompts, skills, rules, components, design assets, blank documents, workspace templates, data, or other files that a recipient can adapt or reuse independently of an End product.
Seller means the person or legal entity offering the Product through Kurodyne and authorizing this License.
Subject to this License, the Seller grants the Licensed buyer a perpetual, worldwide, nonexclusive, nontransferable, and nonsublicensable license to use, copy, install, run, display, modify, and make backup copies of the Product for personal, internal business, and commercial purposes.
The Licensed buyer may use the Product on multiple devices and in unlimited projects. The License has no seat limit, revenue tier, or downstream royalty. The Licensed buyer may create, operate, publish, distribute, and sell End products and ordinary finished work made with the Product, subject to Sections 4 to 8.
The Licensed buyer's employees may use the Product only for the Licensed buyer and only while their work requires it.
The Licensed buyer may give private access to contractors who need the Product to perform services for the Licensed buyer. Each contractor must be bound by confidentiality and use restrictions at least as protective as this License, may use the Product only for that work, receives no right to reuse it for themselves or another client, and must delete controlled copies when the work ends.
These permissions do not extend the License to a parent company, subsidiary, affiliate, client, or other legal entity. Buying for another legal entity requires a separate Buyer account and purchase.
The Licensed buyer may distribute an End product that contains or was made with the Product when the End product does not expose the Product as Reusable material or function as a competing substitute for it. Normal delivery of JavaScript, CSS, images, fonts, and other runtime assets in a website or application is allowed. The Licensed buyer does not have to use digital rights management, obfuscation, or another technical measure solely to prevent copying.
The Licensed buyer may share ordinary finished work such as a completed invoice, report, presentation, design, or course output. Finished work may remain editable when it is the ordinary deliverable and is not a disguised distribution of a blank or reusable template.
A client, affiliate, or other separate legal entity that needs Reusable material for its own use must obtain it through its own Buyer account and purchase on Kurodyne. The Licensed buyer must not supply Reusable material, including modified Product source, to that entity, even if it holds its own license. Private access under Sections 3 and 5 remains permitted.
The Licensed buyer may provide the Product privately to service providers acting on its behalf, including cloud hosts, private source repositories, collaboration systems, and hosted AI tools. Each provider must be bound by confidentiality and use restrictions at least as protective as this License and may use the Product only to provide the service for the Licensed buyer. That permission covers processing and retention reasonably needed to provide the service.
The Licensed buyer must choose terms and settings consistent with this License. This permission does not allow public sharing, resale, provider use for unrelated customers, or use of the Product for general model training. A provider receives no independent license to the Product.
Except as expressly allowed by this License or required by law, the Licensed buyer must not:
- Sell, sublicense, redistribute, publish, or share the Product or modified Product as standalone or Reusable material
- Place the Product in a public repository, public package registry, shared asset library, stock-media collection, competing template, or product generator
- Give Reusable material, including modified Product source, to a client, affiliate, or other separate legal entity, even if that entity holds its own license for the Product
- Make a service whose purpose or material function is to return the purchased prompts, skills, templates, components, or other Reusable material to users
- Remove ownership, copyright, attribution, or third-party notices that must remain with the affected material
- Claim ownership of the Seller's Product or imply an exclusive right to it
- Use the Product unlawfully or in a way that violates another person's rights
The Seller retains its ownership rights in the Product. This License grants permission to use the Product and does not sell or assign the Seller's intellectual property.
The Licensed buyer owns its original contributions to an End product, subject to the Seller's and third parties' rights in their material. Permission to use or share an output does not promise that the output is protected by copyright or that it is exclusive or noninfringing.
No public attribution is required for the Product unless it expressly identifies an attribution obligation that comes from third-party material.
Third-party material identified under this section remains governed by its own license. Its terms may grant additional rights or impose attribution, source-offer, notice, redistribution, or other requirements for that material. This License does not narrow rights granted by a third-party license.
The Seller must identify applicable third-party components and obligations in the Product's notices and public requirements. The Licensed buyer must comply with those terms for the affected material. If a third-party term conflicts with this License, that term controls only for the third-party material to which it applies.
This License covers the Product and its included updates. A separate Kurodyne product, including a new edition offered as its own product, requires a separate purchase. Later changes to this License do not reduce rights already purchased.
The License is distinct from hosted download availability, support, updates, and external accounts or subscriptions. Product delisting, Seller departure, download expiration, or Buyer account closure does not by itself terminate rights in copies lawfully acquired while the License was active. A legal order, infringement claim, third-party service change, or security action may still restrict access or use as required by law or the applicable third-party terms.
A successful partial refund is a price adjustment and does not terminate this License. Successful refunds that cumulatively equal the full payment amount terminate the License and ordinary future access. A pending payment dispute does not terminate the License. A dispute resolved in the buyer's favor terminates it. If the Seller restores access after a full refund under the Refund Policy (Terms of Use, Section 3.2), the same License is restored. Restoration does not override a dispute resolved in the buyer's favor.
When this License terminates, the former Licensed buyer must stop further use and distribution of the Product and delete Reusable material in its control. An ongoing deployment that continues to use the Product must stop that use or obtain a valid license again. Termination does not require recall of ordinary finished work lawfully delivered to others before termination.
For a breach that can be cured, the Seller, or Kurodyne on the Seller's behalf, may give written notice describing the breach. The License terminates if the Licensed buyer does not cure it within 30 days after receiving notice. No cure period limits immediate action or legal relief against unlawful publication, redistribution, infringement, fraud, or conduct that cannot reasonably be cured.
Termination under this section has the consequences stated in Section 10. Rights and obligations that by their nature should continue after termination remain effective, including ownership, payment obligations, restrictions on redistribution, disclaimers, liability limits, and dispute terms.
The Seller authorizes Kurodyne to grant this License on the Seller's behalf for the Product and its included updates. That authorization survives the Seller's departure for licenses already granted. The Seller warrants that it owns the Product or otherwise has sufficient authority to license it under these terms, that the Product matches its description, and that third-party material is identified and compatible with the commercial uses the Seller promises.
A listing, README, private message, or file bundled with the Product cannot add Seller-specific restrictions to this License or replace the terms accepted at checkout. Third-party terms remain governed by Section 8.
Except for the Seller's express warranties in Section 12 and the Terms of Use, and to the maximum extent permitted by law, the Product is provided "as is" and "as available." The Seller and Kurodyne disclaim implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. These disclaimers do not reduce rights expressly granted by this License. Human review is required before publication. Malware scanning runs after upload and may block a package later; a pending scan does not prevent publication or downloads. Neither review nor scanning guarantees that the Product is error-free, secure, compatible, or fit for a particular use. Security Scanning in the Terms of Use describes when package access is blocked. The Licensed buyer is responsible for testing the Product and for backups, systems, credentials, and uses under its control.
The liability limits and dispute terms in the Kurodyne Terms of Use apply to Kurodyne. A Seller's liability is subject to applicable law and any valid terms between the Seller and the Licensed buyer that do not reduce the rights expressly granted by this License. Nothing in this License excludes a liability or remedy that cannot lawfully be excluded.
This License and the applicable third-party terms are the entire agreement about rights to use the Product. The Kurodyne Terms of Use govern the marketplace, payment, access, and account services, but a later change to those Terms cannot reduce a Product license already granted at purchase. If another statement conflicts with this License, this License controls for the Product.
The Seller may assign ownership of the Product only subject to licenses already granted. If a provision is unenforceable, it is modified only as much as needed to make it enforceable, and the remaining provisions continue. A failure to enforce a provision is not a waiver.
This License is governed by the law identified in the Kurodyne Terms of Use, without regard to conflict-of-law rules. Mandatory consumer rights and legal exceptions remain effective where they apply.
